1. EQUIPMENT DESCRIPTION

The Lessor agrees to rent to the Lessee, and the Lessee agrees to rent from the Lessor, the following equipment (the "Equipment"):

2. RENTAL PERIOD & PAYMENT TERMS

2.1 Rental Period: The rental period shall commence upon delivery of the Equipment and shall continue for a term of ${rtoConfig.term} (${rtoConfig.term}) months (the "Rental Term"), unless earlier terminated in accordance with the terms of this Agreement.

2.2 Rental Payments:

Down Payment: ${rtoConfig.downPayment} due upon execution of this Agreement
Monthly Rental Payment: ${rtoConfig.monthlyRate} per month
Equipment Protection Insurance: ${rtoConfig.insuranceMonthly} per month

2.3 Payment Due Date: Monthly rental payments are due on the same day of each month as the commencement date of the Rental Term. Payments shall be automatically charged to the payment method on file.

2.4 Late Fees: Any payment not received within five (5) days of the due date shall incur a late fee of $25.00 or 5% of the monthly payment, whichever is greater.

3. RENT-TO-OWN PURCHASE OPTION

3.1 Purchase Option: At any time during the Rental Term, or upon completion of all ${rtoConfig.term} monthly rental payments, the Lessee shall have the option to purchase the Equipment and obtain full ownership rights.

3.2 Purchase Price Calculation:

3.3 Early Buyout: The Lessee may exercise the purchase option at any time during the Rental Term by paying the remaining balance, calculated as the sum of all remaining monthly payments plus the final purchase payment, minus any early buyout discount that may apply.

3.4 Ownership Transfer: Upon receipt of the final purchase payment, Lessor shall transfer full ownership and title of the Equipment to the Lessee. All rental payments made shall be credited toward the purchase price.

4. EQUIPMENT PROTECTION AND INSURANCE

4.1 Equipment Protection Plan: The Lessee either has elected to purchase the optional Equipment Protection Plan, which provides coverage for accidental damage, theft, and mechanical failure not caused by misuse or negligence, or has declined the Equipment Protection Plan and therefore acknowledges full responsibility for any damage, loss, or theft of the Equipment during the Rental Term.

4.2 Lessee's Responsibility: Regardless of insurance coverage, the Lessee shall maintain the Equipment in good working condition and shall be responsible for any damage caused by misuse, negligence, or intentional acts.

4.3 Loss or Theft: In the event of loss or theft, the Lessee must immediately notify the Lessor and file a police report within 48 hours. Without the Equipment Protection Plan, the Lessee shall be liable for the full retail replacement value of the Equipment.

5. LESSEE RESPONSIBILITIES

The Lessee agrees to:

Use the Equipment in a careful and proper manner, in accordance with manufacturer's instructions
Keep the Equipment in good repair and working condition at all times
Not make any alterations, modifications, or improvements to the Equipment without written consent
Not remove any serial numbers, nameplates, or identifying marks from the Equipment
Not sublease, lend, or otherwise transfer possession of the Equipment to any third party
Not use the Equipment for any illegal purpose or in violation of any laws or regulations
Keep the Equipment at the address specified in this Agreement unless prior written approval is obtained
Allow Lessor to inspect the Equipment upon reasonable notice during business hours
Maintain adequate power supply and environmental conditions suitable for the Equipment

6. EARLY TERMINATION

6.1 Voluntary Early Return: The Lessee may terminate this Agreement and return the Equipment before the end of the Rental Term by providing thirty (30) days written notice to the Lessor.

6.2 Refurbishing and Inspection Fee: Upon early return, the Equipment will be inspected for damage and normal wear and tear. The Lessee shall be responsible for:

Refurbishing Fee: Up to 15% of the Equipment's retail value, depending on condition
Any repair costs for damage beyond normal wear and tear
Cleaning and reconditioning costs
Shipping and handling fees for return of Equipment
6.3 No Refund of Payments: Rental payments already made are non-refundable and represent the cost of using the Equipment for the period it was in the Lessee's possession.

6.4 Default and Repossession: If the Lessee fails to make any payment when due and such failure continues for more than ten (10) days after written notice, or if the Lessee breaches any other term of this Agreement, the Lessor may declare the Lessee in default and repossess the Equipment without further notice.

7. LEGAL TERMS AND CONDITIONS

7.1 No Warranty: THE EQUIPMENT IS RENTED "AS IS" WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. The Lessor makes no representation regarding the Equipment's condition, quality, or suitability for the Lessee's intended use.

7.2 Limitation of Liability: The Lessor shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Agreement or the use of the Equipment, including but not limited to loss of profits, business interruption, or loss of data.

7.3 Indemnification: The Lessee agrees to indemnify, defend, and hold harmless the Lessor from any and all claims, damages, liabilities, costs, and expenses (including attorney's fees) arising from the Lessee's use, possession, or operation of the Equipment.

7.4 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

7.5 Dispute Resolution: Any dispute arising out of or relating to this Agreement shall first be attempted to be resolved through good faith negotiation. If negotiation fails, the parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association.

7.6 Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, and representations.

7.7 Amendments: This Agreement may not be amended or modified except by a written instrument signed by both parties.

7.8 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
